Terms of Service

These Terms of Service (“Terms”) govern your access to and use of NOXA (“NOXA,” “we,” “us,” or “our”), including the website at noxaworld.in, our early-access programme, our products, and our developer API (together, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you confirm that you meet these requirements and that any information you provide is accurate and current.

2. Your account

We use Google Sign-In for accounts. You are responsible for activity under your account and for keeping your sign-in credentials secure. Notify us promptly at noxaworld.support@gmail.com if you suspect unauthorised use. We may suspend or terminate accounts that violate these Terms.

3. Early access (“Founding 100”)

Parts of the Services are offered as an early-access or founding-member programme with limited availability. Early-access features are provided on a pre-release basis, may change, may not work as expected, and may be modified or withdrawn at any time. Any free or promotional access is offered at our discretion and may be subject to additional terms.

4. The Services and our products

Our products — including NOXA Tasks and E-BillR — may have their own product-specific terms presented within each product, which apply in addition to these Terms. Some figures and capabilities described on the Site are illustrative of where the platform is heading and may not reflect current availability.

E-BillR note. E-BillR helps you produce invoices and compute taxes, but it is a software tool, not tax, accounting, or legal advice. You are responsible for the accuracy of the details you enter and for your own compliance obligations.

5. Acceptable use

You agree not to:

• use the Services for any unlawful, harmful, or fraudulent purpose;
• attempt to disrupt, overload, or gain unauthorised access to the Services or related systems;
• reverse engineer, decompile, or copy any part of the Services except as permitted by law;
• infringe the intellectual property, privacy, or other rights of others;
• use the Services to generate or distribute spam, malware, or harmful content; or
• misrepresent your identity or use the Services on behalf of someone without authority.

6. Developer API and SDKs

If you use our API or SDKs, you are responsible for safeguarding your API keys and for all activity under them. We may apply rate limits, usage quotas, and reasonable restrictions to protect the platform. API features may evolve, and we will aim to give reasonable notice of breaking changes where practical.

7. Your content and data

You retain ownership of the content and data you submit to the Services (“Your Content”). You grant us a limited licence to host, process, and transmit Your Content solely to operate and provide the Services to you. We handle personal data as described in our Privacy Policy. We do not use your private content to train shared models.

8. Intellectual property

The Services, including the NOXA name, logo, software, design, and content (other than Your Content), are owned by NOXA or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. No other rights are granted.

9. Third-party services

The Services rely on or may link to third-party services (such as Google and Firebase). Your use of those services is governed by their own terms, and we are not responsible for them.

10. Fees

Some parts of the Services are currently offered free of charge or on a promotional basis. We may introduce paid plans in the future; if we do, we will make the applicable pricing and terms available before you are charged. E-BillR’s core invoicing is offered free as described on the Site.

11. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or fully secure, or that any output will be accurate or suitable for your purposes.

12. Limitation of liability

To the maximum extent permitted by law, NOXA will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business arising out of or relating to your use of the Services. To the extent we are found liable, our total liability will not exceed the amount you paid us for the Services in the three months before the claim arose, or, where you have paid nothing, a nominal sum.

13. Indemnification

You agree to indemnify and hold NOXA harmless from any claims, damages, liabilities, and expenses arising out of your use of the Services, your violation of these Terms, or your infringement of any rights of a third party.

14. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. On termination, the rights granted to you end, while clauses that by their nature should survive (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

15. Changes to the Services and these Terms

We may modify the Services or these Terms from time to time. When we change the Terms, we will update the “Last updated” date above. Your continued use of the Services after changes take effect means you accept the revised Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of India. You agree that the competent courts in India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, subject to any applicable mandatory law.
